This website is operated by She. Fully Alive. LLC, a Minnesota limited liability company  (“Company”). Throughout this site, the terms “we,” “us,” and “our” refer to She. Fully Alive, LLC.  The Company offers this website, including all information, tools, and Services available from this  site to you, the user, conditioned upon your acceptance of all terms, conditions, policies, and  notices stated herein.

By visiting our site and/or purchasing any offering from us, you engage in our “Service(s)” and  agree to be bound by the following terms and conditions (“Terms of Service” or “Terms”),  including any additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply to all users of the site, including without limitation users who are browsers, customers, participants, and/or contributors of content.

Please read these Terms carefully before accessing or using our Services. By accessing our  Services or using any part of the site, you agree to be bound by these Terms of Service. If you do  not agree to all the Terms, then you may not access the website or use our Services. If these Terms of Service are considered an offer, acceptance is expressly limited to these Terms of Service.

SECTION 1 — ACCEPTANCE OF TERMS 

By enrolling in, purchasing, or accessing any course, workshop, retreat, spiritual direction session, coaching session, or digital offering provided by She Fully Alive, LLC (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service, including all policies incorporated by reference. By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state of residence. You may not use our Services for any illegal or unauthorized purpose, nor may you, in the use of the Services, violate any laws in your jurisdiction, including but not limited to copyright laws and the laws of the State of Minnesota. A breach or violation of any of the Terms will result in an immediate termination of your Services.

SECTION 2 — DESCRIPTION OF SERVICES 

She. Fully Alive, LLC provides educational, spiritual, and transformational experiences. Our Services include, but are not limited to: 

  • Online courses (self-paced and cohort-based) delivered via third-party platforms, including Thinkific; 

  • Workshops and live sessions;

  • One-on-one and group spiritual direction sessions; 

  • Life coaching and spiritual coaching sessions, whether conducted in person, by telephone, or via video conference; and 

  • Digital resources, journals, and assessments. 

 

All Services are intended for educational, spiritual enrichment, and personal development purposes only. Our Services do not constitute licensed therapy, counseling, medical advice, or any form of licensed mental health treatment. Certain products or Services may be available exclusively online through the website and may have limited availability. We reserve the right, but are not obligated, to limit the provision of our Services to any person, geographic region, or jurisdiction. We may exercise this right on a case-by-case basis.

SECTION 3 — DISCLAIMER: NOT MEDICAL, MENTAL HEALTH, OR LICENSED THERAPEUTIC SERVICES 

Our offerings, including spiritual direction and coaching services, are not a substitute for professional medical, psychological, psychiatric, or licensed therapeutic care. She. Fully Alive, LLC and its practitioners are not licensed mental health professionals, licensed counselors, psychologists, or psychiatrists. Spiritual direction and life coaching are distinct disciplines from licensed therapy and counseling. Spiritual direction focuses on the exploration of one’s relationship with the divine, and coaching focuses on personal growth, goal-setting, and accountability. Neither constitutes the diagnosis, treatment, or cure of any mental, emotional, or physical condition.

By participating in any of our Services, you acknowledge and agree that: 

  • We do not diagnose, treat, or cure any medical or mental health condition, and no aspect of our Services should be construed as such; 

  • You are solely responsible for seeking licensed medical, psychological, or psychiatric care when needed, and you will not rely on our Services as a substitute for such care; 

  • Participation in all Services is voluntary and at your own discretion and risk; and 

  • If you are currently under the care of a licensed mental health professional, you agree to consult with that professional before engaging in our Services. 

 

If you experience a mental health crisis, you should contact the 988 Suicide & Crisis Lifeline (call or text 988), call 911, or go to your nearest emergency room. Our Services are not designed to address emergency mental health situations.

SECTION 4 — ELIGIBILITY 

You must be at least eighteen (18) years of age to access or use our Services. By accessing or using our Services, you represent and warrant that:

  • You are at least eighteen (18) years of age and are the age of majority in your state of residence; 

  • All information you have provided to us is truthful, accurate, and complete;

  • You are legally capable of entering into binding contracts under applicable law; and 

  • You will comply with all applicable laws and regulations, including without limitation the laws of the State of Minnesota, in connection with your use of the Services.

SECTION 5 — PAYMENTS AND ACCESS 

All prices are listed in United States Dollars (USD) unless otherwise stated. Payment in full is required prior to access to any Service, unless an installment plan has been expressly offered and agreed to in writing. Access terms vary by offering (e.g., limited-time cohort access vs. extended access) and will be specified at the time of purchase.

We reserve the right to modify pricing for our Services at any time without prior notice. We will not be liable to you or to any third party for any modification, price change, suspension, or discontinuance of any Service. You agree to provide current, complete, and accurate purchase and account information for all purchases made through our site and to promptly update your account information, including your email address and payment information, so that we can complete your transactions and contact you as needed.

SECTION 6 — REFUND AND CANCELLATION POLICY 

All requests for cancellation and refund requests must be submitted timely in writing to: traci@shefullyalive.com

 

6.1 General Refund Policy (Digital Courses – Self-Paced) 

The following cancellation and refund policies apply to our digital, self-paced courses. We offer a seven (7)-day refund from the date of purchase under the following conditions:

  • You have completed less than 20% of the course content; 

  • You submit a written refund request within seven (7) days of the date of purchase; and

  • No certificates or completion credentials have been issued. 

 

After seven (7) days, all sales are final and non-refundable. 

 

6.2 Cohort-Based Courses and Live Workshops 

Due to the limited nature and reserved space in cohort experiences, the following cancellation and refund policies apply to our cohort experiences:

  • Refunds are available up to seven (7) days prior to the start date upon a written notice of cancellation. 

  • No refunds, but a one-time transfer to a future cohort may be granted at our sole discretion if written notice of cancellation occurs within seven (7) days prior to the start date. 

 

Once the program has begun, no refunds or transfer credit will be issued. 

 

6.3 Workshops and Single Events 

The following cancellation and refund policies apply to our workshops and single, online events offered: 

  • Written cancellations made forty-eight (48) hours or more in advance of the start of the workshop or singe event may be eligible for a full refund or credit to be determined at the sole discretion of the Company. 

  • Written cancellations made less than forty-eight (48) hours in advance of the start of the workshop or singe event are non-refundable. 

 

6.4 Retreats and In-Person Events 

The following cancellation and refund policies apply to our retreats and in-person events offered: 

  • Written notice of cancellation received 30+ days prior to the start of the retreat or in-person event: full refund minus deposit; 

  • Written notice of cancellation received 14–29 days prior to the start of the retreat or in person event: 50% refund; or 

  • Written notice of cancellation received less than 14 days prior to the start of the retreat or in-person event results in all amounts paid being non-refundable. 

 

The Company reserves the right to consider transfers to another person or event on a case-by-case basis, to be determined at the Company’s sole discretion. 

 

6.5 Spiritual Direction and Coaching Sessions 

Cancellation and rescheduling policies for one-on-one spiritual direction and coaching sessions are as follows: 

  • Written cancellations or rescheduling requests made forty-eight (48) hours or more in advance of a scheduled session will receive a full refund or credit toward a future session, at the Company’s discretion. 

  • Written cancellations made less than forty-eight (48) hours before a scheduled session are non-refundable, and the session will be considered forfeited. 

 

No-shows (failure to attend a scheduled session without prior notice) are non-refundable. 

 

6.6 Exceptional Circumstances 

We recognize that life events occur. In cases of documented medical emergencies or family emergencies, we may, at our sole discretion, offer credit toward future offerings or deferred enrollment. Any such accommodation is granted at the sole discretion of She. Fully Alive, LLC and is not guaranteed. Requests for exceptional-circumstance accommodations must be submitted in writing to traci@shefullyalive.com

SECTION 7 — INTELLECTUAL PROPERTY 

All content, materials, and resources provided through our Services are and shall remain the exclusive intellectual property of She. Fully Alive, LLC, including but not limited to: 

  • Course materials; 

  • Videos, recordings, and scripts; 

  • Worksheets, journals, and assessments; and 

  • Branding and frameworks. 

 

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the materials solely for your personal, non-commercial use. You may not: 

  • Reproduce, duplicate, copy, distribute, sell, resell, or exploit any portion of the content or Services without express written permission from the Company; 

  • Share login credentials; or 

  • Use materials for any commercial purpose, create derivative works, or reverse engineer any aspect of the Services without prior written consent. 

 

Any unauthorized use of our intellectual property constitutes a material breach of these Terms and may subject you to civil and criminal penalties under applicable federal and state law, including the U.S. Copyright Act (17 U.S.C. § 101 et seq.).

SECTION 8 — COMMUNITY GUIDELINES (SACRED SPACE COMMITMENT) By participating in any She. Fully Alive offering, you agree to: 

  • Engage with respect and non-judgment; 

  • Refrain from giving unsolicited advice or “fixing” others; 

  • Maintain confidentiality of shared experiences; and 

  • Contribute to a safe, supportive learning environment.

 

We reserve the right to remove any participant who violates these community guidelines, at our sole discretion and without refund. Such removal shall not give rise to any claim or cause of action against the Company.

SECTION 9 — ACCOUNT RESPONSIBILITY 

You are responsible for: 

  • Maintaining the confidentiality of your account login; and 

  • All activity under your account. 

 

We are not liable for any unauthorized access to your account resulting from your failure to maintain the security of your login credentials. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. 

 

SECTION 10 — USER FEEDBACK AND CONTENT 

If you choose to provide feedback, testimonials, or any ideas, suggestions, concepts, or other comments related to our Services (“Feedback”), you acknowledge and agree that the Company shall own and may use such Feedback without any restriction or obligation to you, and you hereby waive any claim to ownership or compensation, monetary or otherwise. You grant the Company a non-exclusive, royalty-free, perpetual, irrevocable right to use your name, likeness, and testimonials to promote our Services, unless you notify us in writing that you wish to withdraw such consent.

You agree that any content you post or share in connection with our Services (including in community forums, group sessions, or social media) will not violate any right of any third party, including copyright, trademark, privacy, or other personal or proprietary rights. You further agree that such content will not contain unlawful, abusive, defamatory, or obscene material, or contain any malware or code of a destructive nature that could affect the operation of the Services.

SECTION 11 — THIRD-PARTY LINKS, TOOLS, AND PLATFORMS 

We may provide you with access to third-party tools, platforms, and services (including, without limitation, the Thinkific platform) over which we neither monitor nor have any control. You acknowledge and agree that we provide access to such tools and platforms “as is” and “as available” without any warranties, representations, or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of third party tools or platforms.

Third-party links on our site may direct you to third-party websites that are not affiliated with us. We are not responsible for examining or evaluating the content or accuracy of such third-party materials or websites, and we do not warrant and will not have any liability or responsibility for any third-party materials, websites, products, or services. We are not liable for any harm or damages related to the purchase or use of goods, services, or content from any third-party website. Please review carefully the third party’s policies and practices before engaging in any transaction.

We are not responsible for platform outages, interruptions, or service disruptions affecting any third-party platform through which our Services are delivered, nor for internet connectivity issues or device compatibility problems on your end.

SECTION 12 — PROHIBITED USES 

In addition to other prohibitions set forth in these Terms of Service, you are prohibited from using the Services or the site: 

  • For any unlawful purpose or in a manner that violates any applicable local, state, or federal law or regulation; 

  • To infringe upon or violate the intellectual property rights, privacy rights, or any other rights of any person or entity; 

  • To submit false or misleading information, or to impersonate any person or entity or misrepresent your affiliation with any person or entity; 

  • To upload, transmit, or distribute any malicious code, viruses, worms, Trojan horses, or any other software or code of a destructive nature; 

  • To harass, abuse, threaten, defame, or otherwise violate the legal rights of any other user or any third party; 

  • To reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services, use of the Services, or access to the Services without express written permission from the Company; • To collect or store any personally identifiable information of other users without their express consent; or 

  • To interfere with or disrupt the integrity or performance of the Services, including overloading, flooding, spamming, or crashing. 

 

We reserve the right to terminate your use of the Services for violating any of the prohibited uses set forth herein. 

SECTION 13 — CONFIDENTIALITY 

The Company recognizes the sensitive and personal nature of spiritual direction and coaching. Subject to the limitations below, the Company will treat information shared during sessions with reasonable care and will not voluntarily disclose such information to third parties without your written consent, except as required by law.

You acknowledge that the Company’s practitioners are not licensed therapists, attorneys, or clergy bound by statutory privilege, and that communications made during spiritual direction or coaching sessions are not protected by therapist-client privilege, attorney-client privilege, or clergy penitent privilege under Minnesota or federal law. The Company may be required to disclose information in response to a court order, subpoena, or as otherwise required by law.

You agree to maintain the confidentiality of all information shared by other participants in group sessions, workshops, retreats, and community forums, and you will not disclose such information to any third party.

SECTION 14 — DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY 

WE DO NOT GUARANTEE, REPRESENT, OR WARRANT THAT YOUR USE OF OUR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. WE DO NOT WARRANT THAT THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE, RELIABLE, OR MEET YOUR EXPECTATIONS. THE SERVICES AND ALL PRODUCTS AND MATERIALS DELIVERED TO YOU THROUGH THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” FOR YOUR USE, WITHOUT ANY REPRESENTATION, WARRANTIES, OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL SHE. FULLY ALIVE, LLC, ITS OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, INTERNS, SUPPLIERS, SERVICE PROVIDERS, OR LICENSORS BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, OR ANY SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, ARISING FROM YOUR USE OF ANY OF THE SERVICES OR ANY PRODUCTS OR MATERIALS OBTAINED THROUGH THE SERVICES, OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR USE OF THE SERVICES, INCLUDING BUT NOT LIMITED TO (A) ANY ERRORS OR OMISSIONS IN ANY CONTENT, (B) ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF THE SERVICES OR ANY CONTENT MADE AVAILABLE VIA THE SERVICES, OR (C) ANY PERSONAL OUTCOMES, EMOTIONAL RESPONSES, OR TRANSFORMATIONAL EXPERIENCES RESULTING FROM PARTICIPATION IN OUR SERVICES, EVEN IF ADVISED OF THEIR POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO THE COMPANY DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law. Nothing in these Terms shall exclude or limit liability that cannot be excluded or limited under applicable Minnesota law.

SECTION 15 — INDEMNIFICATION 

You agree to indemnify, defend, and hold harmless She. Fully Alive, LLC and its owners, members, managers, officers, agents, contractors, licensors, service providers, subcontractors, suppliers, and employees from and against any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of (a) your breach of these Terms of Service or any documents they incorporate by reference, (b) your violation of any law, rule, or regulation, or the rights of any third party, (c) your use or misuse of the Services, or (d) any content you submit or share in connection with the Services.

SECTION 16 — TRANSFORMATIONAL WORK DISCLAIMER

Our offerings involve reflection, spiritual exploration, and personal growth practices that may surface emotional responses, memories, or insights. By participating in our Services, you acknowledge and agree that: 

  • Transformation and personal growth can be uncomfortable and nonlinear, and the Company makes no guarantees regarding specific outcomes, results, or personal breakthroughs; 

  • You are solely responsible for your own emotional, psychological, spiritual, and physical well-being before, during, and after participation in any Service; 

  • You will engage at a pace that feels safe and appropriate for you, and you will discontinue participation and seek professional support if you experience distress beyond your capacity to manage; 

  • The Company and its practitioners shall have no liability for any emotional, psychological, or spiritual experiences that arise from your participation in the Services; and

  • These Services are educational and spiritual in nature and are not a substitute for licensed mental health services, and you have read and understood Section 3 of these Terms.

SECTION 17 — PRIVACY AND DATA PROTECTION 

Your submission of personal information through our site and Services is governed by our Privacy Policy, which is incorporated into these Terms by reference.

We are committed to complying with applicable federal and state data privacy laws, to the extent applicable. We do not sell your personal information to third parties. To the extent that any information you provide could be considered protected health information under the Health Insurance Portability and Accountability Act (“HIPAA”), you acknowledge that our Services are not provided by a HIPAA-covered entity, and HIPAA protections do not apply to information shared during spiritual direction or coaching sessions. We encourage you to exercise discretion in the information you choose to share.

SECTION 18 — ELECTRONIC COMMUNICATIONS AND CAN-SPAM COMPLIANCE 

By providing your email address to the Company, you consent to receive electronic communications from us, including transactional emails related to your purchases, account notifications, and, where you have separately opted in, marketing communications.

SECTION 19 — ACCESSIBILITY 

She. Fully Alive, LLC is committed to making its website and Services accessible to individuals with disabilities to the extent required by applicable law, including Title III of the Americans with Disabilities Act (42 U.S.C. § 12181 et seq.) and the Minnesota Human Rights Act (Minn. Stat. Ch. 363A). If you experience any difficulty accessing our website or Services due to a disability, please contact us at traci@shefullyalive.com so that we may work to provide reasonable accommodations.

SECTION 20 — TERMINATION 

The obligations and liabilities of the parties incurred prior to the termination date will survive the termination of this agreement for all purposes. These Terms of Service are effective unless and until terminated by either you or the Company. You may terminate these Terms of Service at any time by notifying us in writing that you no longer wish to use our Services, or by ceasing to use our site and Services. If, in our sole judgment, you fail or we suspect that you have failed to comply with any term or provision of these Terms of Service, we may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination, and we may deny you access to our Services (or any part thereof). No refunds will be issued upon termination for cause.

SECTION 21 — SEVERABILITY 

In the event that any provision of these Terms of Service is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service. Such determination shall not affect the validity and enforceability of any other remaining provisions.

SECTION 22 — GOVERNING LAW AND VENUE 

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the State of Minnesota and the federal laws of the United States, without regard to its conflict of law provisions. You further consent to the exclusive jurisdiction and venue of the state and federal courts located in Hennepin County, Minnesota, and you waive any objection to such jurisdiction or venue on the grounds of inconvenient forum or otherwise.

SECTION 23 — ENTIRE AGREEMENT 

The failure of the Company to exercise or enforce any rights or provisions of these Terms of Service shall not constitute a waiver of such rights or provisions. These Terms of Service, together with our Privacy Policy and any other policies or operating rules posted by us on this site, constitute the entire agreement and understanding between you and the Company and govern your use of the Services, superseding any prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and the Company (including, but not limited to, any prior versions of the Terms of Service). Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.

SECTION 24 — MODIFICATIONS TO TERMS 

You can review the most current version of the Terms of Service at any time on this page. We reserve the right, at our sole discretion, to update, change, or replace any part of these Terms of Service by posting updates and changes to our website. It is your responsibility to check our website periodically for changes. Your continued use of or access to our website or the Services following the posting of any changes to these Terms of Service constitutes acceptance of those changes. Any new features or tools which are added to the current website shall also be subject to these Terms of Service.
